These Terms of Service ("Terms") govern your access to and use of the Hallos application for macOS and iOS, the Hallos Agent Marketplace, and related services (collectively, the “Service”) provided by Hallos AI, LLC ("Hallos," “we,” “us,” or “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use Hallos. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
2. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We are not liable for any loss arising from unauthorized access to your account.
3. Description of the Service
Hallos provides a platform to discover, purchase, and run AI agents on your personal devices. Key aspects of the Service include:
- Agent Execution. Agents run locally on your device. Hallos does not execute agents on its servers on your behalf.
- API Keys. You provide and manage your own API keys for third-party AI model providers (e.g., OpenAI, Anthropic, Google). You are solely responsible for the security, usage, and any costs associated with your API keys.
- Hallos Agent Marketplace. A curated collection of AI agents available for purchase. Agents in the Marketplace are reviewed and curated by Hallos.
4. API Keys & Third-Party Services
- Your API keys are stored locally on your device and are not transmitted to or stored on Hallos servers.
- When you run an agent, your device communicates directly with the third-party AI provider associated with your API key. You are bound by that provider’s terms of service, usage policies, and pricing.
- Hallos is not responsible for any charges, rate limits, data handling, or service interruptions imposed by third-party AI providers.
- You agree not to use API keys obtained through unauthorized means or in violation of any third-party provider’s terms.
5. Hallos Agent Marketplace
Purchasing Agents
- Agents available in the Marketplace are priced as listed at the time of purchase.
- Purchases are processed through Apple In-App Purchase or other supported payment processors. The applicable payment processor’s terms govern the transaction.
- All prices are in U.S. dollars unless otherwise indicated.
Agent Curation
- All agents published in the Hallos Marketplace are reviewed and curated by Hallos. We make reasonable efforts to ensure quality and safety, but we do not guarantee that any agent will meet your specific requirements or be free of errors.
- Hallos reserves the right to add, remove, update, or modify agents in the Marketplace at any time without prior notice.
Refunds
- Refund eligibility is governed by the applicable payment processor’s refund policy (e.g., Apple’s App Store refund policy).
- If you experience a technical issue with a purchased agent that prevents it from functioning as described, contact us and we will work to resolve the issue or process a refund at our discretion.
License
- When you purchase an agent, you receive a limited, non-exclusive, non-transferable, revocable license to use that agent through the Hallos application on your personal devices.
- You may not redistribute, resell, reverse-engineer, or create derivative works from purchased agents.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to reverse-engineer, decompile, or extract the source code of the Hallos application or any agents
- Circumvent, disable, or interfere with any security or access control features of the Service
- Use the Service to generate content that is illegal, harmful, abusive, or infringes on the rights of others
- Resell, sublicense, or redistribute access to the Service or any purchased agents
- Use automated means (bots, scrapers) to access the Service except through the intended interfaces
- Interfere with or disrupt the integrity or performance of the Service
We reserve the right to suspend or terminate your access if you violate these Terms.
7. Intellectual Property
Hallos IP
The Hallos application, its design, features, code, documentation, and branding are the intellectual property of Hallos AI, LLC. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described here.
Agent IP
Agents in the Marketplace may be developed by Hallos or by third-party developers under agreement with Hallos. Intellectual property rights in each agent remain with the respective rights holder. Your purchase grants you a usage license only.
Your Content
You retain ownership of any content you create using the Service (e.g., outputs generated by running agents with your API keys). Hallos claims no ownership over your inputs or outputs. You are solely responsible for the content you generate and its compliance with applicable laws.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Hallos does not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Any agent will produce accurate, complete, or reliable outputs
- The Service will meet your specific requirements
AI-generated content may be inaccurate, incomplete, or biased. You are responsible for reviewing and verifying all outputs before relying on them.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALLOS AI, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO HALLOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Hallos has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Hallos AI, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including third-party AI provider terms
- Content you generate using the Service
11. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access to the Service at our discretion, with or without notice, if we believe you have violated these Terms or if required by law.
- Upon termination, your license to use purchased agents is revoked. Provisions of these Terms that by their nature should survive termination (including Sections 7–11) will survive.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you through the app or by updating the “Last Updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hallos AI, LLC regarding the Service and supersede any prior agreements.
