Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hallos apps for iPhone and Mac, the Hallos agent that runs on your Mac, the Hallos Market, and related services (collectively, the “Service”) provided by Hallos AI, LLC, a California limited liability company ("Hallos," “we,” “us,” or “our”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use Hallos. If you are under 18, you may use the Service only with the involvement of a parent or guardian. By using the Service, you represent that you meet these requirements and have the legal capacity to enter into these Terms.

2. Your Account

  • You sign up with your phone number, Sign in with Apple, or Google. When you sign up with your phone, we send a verification code by text message; message and data rates may apply.
  • You are responsible for keeping your devices and sign-in methods secure and for all activity under your account, including what agents do at your direction. Tell us right away at legal@hallos.ai if you believe your account has been used without your permission.
  • You may delete your account at any time from Account → Delete Account.

3. The Service

  • Agents run on your Mac. The Hallos agent runs on computers you connect and starts AI agents there, such as Claude Code, Codex, Pi, and agents from the Market. Hallos syncs your sessions, History, documents, and devices so you can start and follow your agents’ work from your iPhone or Mac.
  • AI providers. Agents use the AI provider accounts and API keys you connect on your Mac (for example, Anthropic, OpenAI, or Google). Your use of those providers is governed by their terms, usage policies, and pricing, and you are responsible for complying with them, including whether your plan with a provider allows this use. Hallos is not responsible for providers’ charges, limits, data handling, or outages.
  • Hallos Market. The Market offers agents published by Hallos. Which agents you can add depends on your plan. When you add one, it is copied into your account for your use within the Service. We may add, change, or remove Market agents at any time.
  • Changes. We may change, add, or remove features of the Service. If we discontinue the Service, we will give you reasonable notice where we can.

4. Agents Acting on Your Computer

Agents can read and change files, run commands, use the internet, and act through accounts signed in on your computer (for example, pushing code to GitHub). They do this at your direction and under your accounts.

  • You decide where agents work, what they can access, and what you ask and allow them to do. Review their changes before you rely on them, and keep backups of work that matters.
  • You are responsible for the actions agents take on your computer and through your accounts, and for having the right to let them do so.
  • Hallos is not responsible for loss or damage caused by actions you direct or allow agents to take, including changes to files, code, or data, or charges from third-party services.

5. Plans, Subscriptions, and Payment

  • Plans. Hallos offers a free plan and paid plans (currently Plus, Pro, and Max). Each plan’s features and limits, such as running sessions, History retention, and available agents, are shown in the app and may change.
  • Auto-renewal. Paid plans are monthly subscriptions that renew automatically at the then-current price until you cancel. We will tell you in advance about a price change, and it applies from your next renewal.
  • App Store purchases. If you subscribe on iPhone, Apple processes the payment under Apple’s terms. You manage, cancel, and request refunds for those subscriptions through your Apple account, under Apple’s policies.
  • Stripe purchases. If you subscribe on the Mac, Stripe processes the payment and you are billed in advance each month. You can change or cancel your plan in the app. A cancellation takes effect at the end of the current billing period. Upgrades take effect immediately with a prorated charge, and downgrades take effect at your next renewal.
  • Refunds. Except where the law requires otherwise, payments are non-refundable and we do not refund partial billing periods. If a technical problem keeps the Service from working as described, contact us and we will work to fix it or decide on a refund.
  • Deleting your account cancels a Stripe subscription immediately, without a refund for the rest of the period. App Store subscriptions continue until you cancel them with Apple.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Direct or configure agents to access systems, accounts, or data you are not authorized to use, or to engage in malicious, deceptive, spam, or abusive behavior
  • Use the Service to create content that is illegal, harmful, abusive, or infringes on the rights of others
  • Attempt to reverse-engineer, decompile, or extract the source code of the Hallos apps or Market agents, except where the law allows it
  • Circumvent, disable, or interfere with security features, access controls, or plan limits
  • Resell, sublicense, or share access to the Service or Market agents
  • Access the Service by automated means except through the interfaces we provide
  • Interfere with or disrupt the integrity or performance of the Service

We may suspend or terminate your access if you violate these Terms.

7. Your Content

  • You own the content you send through the Service and the outputs your agents produce for you, as between you and Hallos.
  • You give Hallos a limited license to host, store, process, and display your content only as needed to provide the Service to you, such as syncing your sessions to your devices.
  • We do not use your content to train AI models. You are responsible for your content and for having the rights to it.

8. Intellectual Property

The Hallos apps, agent, Market agents, website, design, code, documentation, and branding are owned by Hallos AI, LLC or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal or internal business use. If you send us feedback, we may use it without obligation to you.

9. AI Output and Disclaimers

AI output can be inaccurate, incomplete, outdated, or biased, and the same request can produce different results. You are responsible for evaluating output before relying on it. Output is not professional advice (such as legal, medical, or financial advice).

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HALLOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AGENTS WILL PRODUCE ACCURATE OR RELIABLE OUTPUT OR ACTIONS, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALLOS AI, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, INCLUDING ACTIONS TAKEN BY AGENTS.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO HALLOS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR FIFTY U.S. DOLLARS ($50).

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Hallos has been advised of the possibility of such damages. Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Hallos AI, LLC and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your use of the Service, including actions taken by agents at your direction
  • Your violation of these Terms
  • Your violation of any third-party rights or terms, including AI providers’ terms
  • Your content

12. Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms or if the law requires it.
  • When your account is deleted, we delete your data as described in our Privacy Policy. Sections 4 and 7–15 survive termination.

13. Apple App Store

If you downloaded the Hallos iPhone app from the App Store, these terms also apply:

  • These Terms are between you and Hallos, not Apple. Hallos, not Apple, is solely responsible for the app and its content.
  • Your license to the app is limited to using it on Apple-branded products you own or control, as permitted by the App Store’s Usage Rules.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the app’s purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
  • Hallos, not Apple, is responsible for addressing any claims relating to the app or your use of it, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection claims.
  • Hallos, not Apple, is responsible for investigating, defending, settling, and discharging any third-party claim that the app or your use of it infringes that party’s intellectual property rights.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. Export Compliance

You agree to comply with U.S. export control and sanctions laws in your use of the Service.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California, and you consent to personal jurisdiction in those courts. This does not take away any rights you have under the consumer protection laws of the place where you live.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app or by updating the “Last Updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service.

17. General

If any provision of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and Hallos AI, LLC regarding the Service.
